T E R M S O F U S E as well as N O N D I R A M A T I O N (PRIVACY) - and N O N C I R C O M V E N T I O N A G R E E M E N T Concluded between submitter for access authorization and SOLEVER LLC (Srl) (short SOLEVER) I – 39012 Merano (BZ), Via Mainardo 22 Tax-, value added tax- and entry number in the Commercial Register of Bolzano 02600810218 All together also called parties to a contract, as follows: preamble Solever disposes of the possibility of assigning account to third parties in the protected costumer area of the home page www.solever.it . After the occurred transmission of the, data of the applicant, which are contained in the application from SOLEVER is free to active the access to the member area. The protected member area illustrates a digital data room for miscellaneous projects in the area of electricity generation from renewable sources. The submitter gets individual access to projects, which he wants to acquire as a project law or turn-key plant. The access can also be given to collaborator of the companies, which are business contacts of SOLEVER and would like to obtain technical data or documents from the data room. The goal of this convention is the extensive protection of “Confidential information”, which will be exchanged by the parties, comprising the keeping of the respective laws of this information and the prohibition of unauthorized application or not authorized publication of information. Other goals of this convention are to create a two-way protection for clients, sources and information as well as a declaration of non avoidance. For this reason the partner declare following: All information, photos, plans, sample contracts as well as other documentations and documents, etc. which are located on the digital data room are exclusively property of SOLEVER and copyrighted. The access beneficiary accepts this formally and obligates himself not to make use of impure resorts. Any abuse generated damage for SOLEVER will be indicated and demanded with all available judicial and juridical resorts. “Confidential information” in terms of the declaration of all information are independent of their form (written, oral, visual or electronic), which a contract party, subsequently “manifesting contract party”, the other contract party, subsequently “receiving contract party” will gain access in context with the project. The existence of the declaration, and the fact, that confidential information will be communicated, counts as well as “Confidential information”. The receiving contract party commit their self to a)keep confidential information dark, b)exclusively to use for project purposes and c)do not make it accessible for thirds. Apart from the commitment of point 2.c) the transmission of confidential information for project purposes is in a absolute necessary degree on: Own collaborator, if they are committed to the secrecy, Consultants which based on legal specifications of profession are committed to the secrecy, Affiliated companies, if they are committed to the secrecy. Furthermore the transmission of information through the access beneficiary is only permitted to potential investors and their financiers and refinanciers, which want to acquire project laws or turn-key constructing plants. Before transmission the access beneficiary is committed to: specifically name the investors to SOLEVER gain the consent for transmission of information from SOLEVER gain from investors a conform accord of secrecy and non avoidance and send it to SOLEVER. The Commitment of secrecy does not imply information, which were already known by the receiving contract party before receipt be or become public or publicly available without violating a commitment of secrecy, inform the receiving contract party of a third without violating a commitment of secrecy reveal due to official directive or judicial order or authoritative statutory provisions, or be approved in a written form from manifesting contract party for the transmission to thirds. The parties to the contract know, that through a unjustified publication of confidential information can lead to a considerable damage for the manifesting contract party, which can demanded by the manifesting contract party. This accord does not justify a commitment for the transmission of confidential information. With this accord no laws of confidential information of the manifesting contract party will be transferred neither admitted. On requisition of the manifesting contract party or at the termination of the projects receiving contract party is committed to return all confidential information without retention of copies to the manifesting contract party or to delete all saved information permanently from the medium. Both parties promise each other within the placement of the projects a protection of clients, fonts and information as well as a not avoidance and obligate their selves not to violate these conventions neither directly nor indirectly. In the case of contacts to the project developer this also regards for all future cases and projects. The present arrangement justifies no exclusiveness whatsoever regarding respective projects. The commitments from this accord count for a period of 3 (three) years from signatures of this accord through both parties. For themselves or in relation with agreements of secrecy or not avoidance resultant disputes the arbitration of the Board of Trade of Bolzano (South Tyrol) is exclusively responsible. EU law is valid with exceptions of the UN Convention on Contracts for the international sale of goods and the provisions governing the applicable law of the international private law. If a unique regulation or a part of a regulation should be void by law, this does not concern the validity of other regulations of this arrangement. This null regulation has to be replaced by another, which comes as close as possible to the economic intent of both contractual partner. All modifications and additions of this agreement require the written form. Every amendment to this agreement can only be made in writing.
